1. Service Scope: Murkato LLC provides recurring branding, design, website, e-commerce, retention marketing, strategy, and operational support for service-based businesses, e-commerce brands, and other client businesses. Services are provided on a best-effort basis within the scope of the selected monthly plan, proposal, or written agreement.
2. Fees, Billing & Optional Performance Commission: Monthly subscription fees renew automatically and are due at the start of each billing cycle. Standard plans do not include revenue-sharing, sales commission, or performance commission unless specifically agreed upon in writing.
For select premium e-commerce plans, Murkato may charge a performance commission based on attribution revenue generated through agreed-upon marketing, design, website, retention, or strategy efforts. Any commission structure, including a 10%–15% commission on attribution revenue, will only apply if clearly stated and agreed to in a separate written agreement, proposal, or signed service arrangement.
Attribution revenue will be determined by the reporting sources and attribution windows agreed upon in writing between Murkato and the client. These sources may include, but are not limited to, Shopify, Klaviyo, Meta, Google Analytics, email/SMS platforms, campaign links, discount codes, landing pages, or other agreed tracking methods.
Commission invoices are billed monthly and payable on net-30 terms unless otherwise stated in writing. Late, failed, or unpaid invoices may result in paused work, suspended services, or termination of the agreement.
3. Cancellation: Clients may cancel services by providing written notice at least 15 days prior to the next billing cycle. Cancellation does not take effect immediately. It will take effect at the end of the current billing period, provided proper notice is received.
If cancellation notice is submitted less than 15 days before the next billing cycle, the next monthly payment may still be charged, and cancellation will take effect at the end of the following billing period. No prorated refunds are provided for partially used billing periods.
4. Revisions & Requests: Murkato allows reasonable revisions within the scope of the selected plan or agreement. Excessive revisions, expanded requests, urgent turnarounds, or work outside the agreed scope may require an upgraded plan, additional fees, or a separate project agreement.
5. Intellectual Property: Clients own final approved deliverables once all outstanding invoices, fees, and applicable commissions have been paid in full. Murkato retains the right to showcase completed work in its portfolio, website, social media, case studies, or marketing materials unless the client requests otherwise in writing.
6. Confidentiality: We respect your sensitive information and use it only for providing the Service.
7. Disclaimers: Services are provided “as is” and on a best-effort basis. Murkato does not guarantee specific business outcomes, including but not limited to increased sales, traffic, leads, conversions, followers, revenue, customer retention, or profitability.
8. Client Responsibilities: Clients are responsible for providing timely feedback, approvals, access, assets, information, and payment. Delays in communication, missing materials, or lack of access may delay timelines or limit Murkato’s ability to perform services.
Clients are also responsible for ensuring that their business, products, services, claims, customer communications, and marketing practices comply with applicable laws, platform rules, and industry regulations.
9. Liability: Clients agree to defend, indemnify, and hold Murkato harmless from claims, damages, liabilities, or expenses arising from the client’s business, content, products, services, customer claims, platform use, legal compliance, or breach of these Terms.
10. Indemnification: You agree to defend and hold us harmless against claims arising from your use of the Service or breach of these Terms.
11. Modifications: Murkato may update its services, pricing, plans, or these Terms from time to time. Continued use of Murkato’s services after updates are made constitutes acceptance of the revised Terms.
12. Governing Law & Disputes: These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate state or federal courts located in Indiana.
